Grayson & Associates is a boutique sized law firm specializing in commercial matters, both transactional and litigation. Our clientele are generally entrepreneurs, their companies, middle sized private companies and newer public companies. We also represent individuals with private matters, such as residential real estate purchases.
Over the years we have developed a role as outside general counsel and attorneys to many of our clients, which gives them full scale representation on an as needed basis, and allows them to free up capital, as they do not have carry a full time in-house legal staff or be on a retainer with the larger firms. In this capacity we are proactive in that we provide advice and counseling as a situation develops, so that future conflict and possible litigation can be avoided.
We act or have acted as lawyers and attorneys in this capacity for JLM Industries, Inc., Pray Automobile Corporation, Pepe Motors Group, Bodnar Capital Management, Rock Ridge Advisors, LLC, Convergence Asset Management, LLC, VerticalCrossings.com, Inc., Pearl Public Relations and Post Road Auto Body Shop, Inc. JLM is one of the world’s largest traders of petrochemicals, taking both long and short positions and making physical delivery. JLM is also one of the United States’ largest distributors of acetone and phenol and has terminals and manufacturing plants. Pray was one of the United States’ premier high-line automobile dealerships, carrying Audi, Porsche, Volkswagen and Infiniti. Pepe, also a well known high line dealership, carries Mercedes Benz, Porsche and Infiniti. Bodnar Capital Management owned and operated a number of high line dealerships, including Mercedes Benz, Porsche and Audi and sold the dealerships and certain real estate to United Auto Group. Presently we advise on the continuing relationship with UAG and Bodnar’s private investments, which include real estate and taking positions in emerging publically traded and privately funded companies. Rock Ridge is a hedge fund concentrating in mortgage-backed securities and other fixed income products. Convergence was a Greenwich-based hedge fund dealing in derivatives and VerticalCrossings was a cutting edge provider of on-line auctions for institutional buyers, sellers and traders of mortgage-backed securities and structured products. We also represent Mercedes Benz of Greenwich.
Locally we represent a number of upper-end commercial real estate owners and developers, both in Fairfield County, Connecticut and Westchester County, New York, as well as many mid-sized businesses involved in day to day commerce. We also provide leasing advice to corporate tenants.
The firm was founded in 1992 by Eric D. Grayson, who is licensed in both Connecticut and New York. Mr. Grayson was appointed by the Hon. Francis M. McDonald, Chief Justice of Connecticut’s Supreme Court, as an Attorney Trial Referee for the State of Connecticut, and has been practicing both nationally and internationally since 1982.
